GENERAL TERMS AND CONDITIONS MISTERGOLD B.V. – BUSINESS CUSTOMERS

Article 1 – Applicability

1.1 These terms and conditions apply to all business transactions between MisterGold and resellers, jewellers, wholesalers, and other business customers.

Article 2 – Prices

2.1 All prices are exclusive of VAT unless stated otherwise.

2.2 Precious metal prices are based on the current spot price.

2.3 Prices can only be fixed after confirmation by MisterGold.

Article 3 – Orders

3.1 Every confirmed order is binding.

3.2 Cancellation is not possible after price fixing.

3.3 Any market price loss shall be borne entirely by the customer.

Article 4 – Payment

4.1 Unless agreed otherwise in writing, payment must be made in advance.

4.2 MisterGold may set credit limits.

4.3 In the event of late payment, statutory commercial interest shall be due.

Article 5 – Delivery

5.1 Delivery times are indicative.

5.2 Delays do not entitle the customer to compensation.

5.3 Delivery takes place after full payment has been received.

Article 6 – Retention of Title

6.1 All delivered products remain the property of MisterGold until all claims have been paid in full.

6.2 The customer may resell the products in the ordinary course of business.

Article 7 – Consignment, if applicable

7.1 Products provided by MisterGold on consignment remain the property of MisterGold.

7.2 The business customer shall ensure adequate security and insurance.

7.3 Loss, theft, or damage shall be borne by the business customer.

Article 8 – Buy-Back

8.1 MisterGold may buy back products offered to it at the current market price.

8.2 MisterGold determines the final buy-back value after inspection.

Article 9 – Wwft

9.1 Business customers must cooperate with all identification and compliance obligations.

9.2 MisterGold may require additional documentation.

Article 10 – Liability

10.1 MisterGold’s liability is limited to the invoice amount of the relevant delivery.

10.2 MisterGold is not liable for consequential damage, loss of profit, or market price losses.

Article 11 – Confidentiality

11.1 The parties shall treat confidential information as strictly confidential.

11.2 Customer data, price agreements, and commercial terms may not be disclosed to third parties.

Article 12 – Applicable Law

12.1 All agreements are governed by Dutch law.

12.2 Disputes will be submitted to the competent court in Zeeland-West-Brabant, the Netherlands.
